A Brazilian insurance brokerage company: diversified geographically and by segments and products

We are composed of 26 brokerage companies, each founded by brokers with significant experience and an average of 19 years of activity in the insurance or insurance brokerage markets. Our brokerage companies sell a broad range of insurance products, including health, auto and high risks insurance, among others, and have 33 offices located in nine states in Brazil, serving customers across the country. The main activity of our brokerage companies is insurance brokerage, and their revenues derive principally from commissions paid by insurers and health plan operators on sales of insurance policies. Insurance brokerage firms broker the sale of insurance policies, without being subject to any of the risks covered by such insurance policies.

Our brokerage companies were selected over the course of more than two years of market research by the Gulf group, based on their excellence in their respective business areas, the history and reputation of their founding broker shareholders, and their expected business growth. Our brokerage companies will provide us with access to a portfolio of businesses that are diversified by insurance product, segment and location. Founded in 1983, the Gulf group consolidated the Brazilian real estate brokerage sector in 2007 by creating Brasil Brokers, a publicly-held company whose shares are traded on the Novo Mercado listing segment of the BM&FBOVESPA. Brasil Brokers' structure and consolidation strategy was similar to ours, and we believe this consolidating dynamic can be rapidly and efficiently replicated in the insurance brokerage sector through the Gulf group's expertise.
